The agreement between us

1. Parties

This agreement is between you and Mentis Vision LLC, a Hawaii limited liability company based in Honolulu, Hawaii, United States (“Mentis Vision”, “we”, “us”). MDSyntax is a product of Mentis Vision. By downloading, purchasing or using MDSyntax, or by using this website, you accept these terms. If you do not accept them, do not use the software or the site.

2. The service

MDSyntax is downloadable desktop software for macOS and Windows. It is not a hosted service; there is no server component, no account, and no uptime commitment, because nothing about the product depends on our infrastructure staying online. The only exception is licence validation, which requires occasional network access and tolerates its absence for a grace period.

We may change, add or remove features between versions. We will not remotely disable a version you have already installed and paid for.

3. Free and paid tiers

MDSyntax is free to download and use for reading, editing and standard export. Certain features — export templates, batch export, the watched-folder library, version history, document formatting and cross-file find & replace — require an MDSyntax Pro licence. The free tier is not a time-limited trial and will not stop working.

4. Purchase, price and taxes

MDSyntax Pro is sold as a one-time purchase of US$29.99, which activates on up to three machines you control. Buying several licences for a group is arranged directly with us; seat count and invoicing are agreed in writing at the time. Prices are stated exclusive of tax; applicable VAT, GST or sales tax is added at checkout and remitted by our merchant of record.

Direct purchases are processed by Polar as merchant of record. Your purchase is therefore also subject to their terms, and your invoice will show them as the seller. Purchases made through the Mac App Store or Microsoft Store are governed by Apple's or Microsoft's terms respectively, including their own refund handling.

We may change prices at any time. A change never affects a one-time licence you have already bought.

5. Refunds

We offer a 14-day refund on direct purchases, no explanation required. The full terms, including how statutory withdrawal rights interact with it, are in theRefund Policy, which forms part of this agreement.

6. Licence keys

Your licence key is personal to you or to your organisation. Do not publish, resell or share it. If a key is found in public circulation or activated in a pattern that clearly exceeds its seat allowance, we may revoke it; where we do, we will tell you why and, if the misuse was not yours, issue a replacement.

You can deactivate a machine from within the app to free the seat for another. Lost keys are recoverable from your purchase email or by writing to[email protected].

7. Acceptable use

You agree not to: circumvent or attempt to circumvent licence enforcement; distribute modified builds; use the software to process material you have no right to process; or use the “New from URL” feature to retrieve content in violation of a third party's rights or terms. You are solely responsible for the files you open and the documents you produce.

8. Your content

Your documents are yours. We claim no licence, ownership or interest in anything you open, edit or export, and we never receive it — see the Privacy Policy. You are responsible for backing up your work; version-history snapshots are a convenience, not a backup system.

9. Intellectual property

MDSyntax, the MDSyntax name and mark, Mentis Vision, and this website's design and copy are owned by Mentis Vision LLC. You receive a licence to use the software, not any ownership of it. MDSyntax incorporates third-party open-source components under their respective licences; the notices are available in the application under About.

10. Warranty disclaimer

Except where prohibited by law, MDSyntax and this website are provided “as is” and “as available”, without warranty of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the software is error-free, that every document will render or export exactly as you expect, or that it will be uninterrupted.

Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you. Nothing here limits your non-excludable statutory rights as a consumer.

11. Limitation of liability

To the maximum extent permitted by law, Mentis Vision will not be liable for indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits, revenue or goodwill, arising out of or relating to your use of MDSyntax. Our total aggregate liability for any claim is limited to the greater of the amount you paid us in the twelve months before the claim, or US$50.

Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.

12. Indemnity

You agree to indemnify Mentis Vision against claims arising from your breach of these terms or from content you process with the software in violation of a third party's rights.

13. Termination

You may stop using MDSyntax at any time by uninstalling it. We may terminate your licence for a material breach of these terms that you do not remedy within 14 days of notice. On termination, the sections covering intellectual property, warranty, liability and governing law survive.

14. Governing law and disputes

These terms are governed by the laws of the State of Hawaii, United States, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. The state and federal courts located in Honolulu, Hawaii have exclusive jurisdiction, except that consumers may bring proceedings in the courts of their own country of residence where local law gives them that right.

Before filing anything, please write to us. Almost every dispute over a $29.99 program is a misunderstanding that an email resolves faster than a court will.

15. Changes and general

We may update these terms; the effective date above will change and material revisions will be noted in the app's release notes. If a provision is held unenforceable, the rest remains in force. These terms, together with the EULA, Privacy Policy and Refund Policy, are the entire agreement between us. Our failure to enforce a provision is not a waiver of it. You may not assign this agreement without our consent; we may assign it as part of a merger or sale of the business.
